TERMS OF USE (USER AGREEMENT) Last updated: February 7, 2025 Welcome to the website (hereinafter referred to as the “Site” or the “Service”) https://spyowl.icu and/or https://app.spyowl.icu (hereinafter referred to as the “Administrator,” “we,” “us,” “our”). This Terms of Use (hereinafter referred to as the “Agreement,” “Terms of Use”) is a public contract (offer) that sets out the conditions under which any legally capable individual (hereinafter referred to as the “User,” “you,” “your”) may use the Service. By starting to use the Site and/or registering on the Site, you acknowledge that you have read, understood, and agree to all provisions of this Agreement. 1. Minimum Age and Legal Capacity 1.1. The Service is available only to individuals who have reached the age of majority under the laws of the country of which they are citizens and who are capable of entering into legally binding contracts. 1.2. If you do not meet these requirements, you must not use the Service or visit the Site. 2. Changes to the Agreement 2.1. We may occasionally make changes to this Agreement. The new version will be posted on this page with an indication of the date it takes effect. 2.2. Your continued use of the Service following the posting of changes signifies your acceptance of the new version. If you do not agree with the updated version, you must immediately stop using the Service. 3. Terms and Definitions • Service: The functionality of https://spyowl.icu and/or https://app.spyowl.icu that enables the User to request the collection or analysis of certain information from various online or social media platforms for traffic arbitrage (and other permitted purposes). • User: Any individual using the functionality of the Site and the Service. • Administrator (Administration): The person (individual entrepreneur or company) that owns and operates the SpyOwl Service, as well as its employees/representatives who ensure the operation of the Site and provide technical, consulting, and other support. • Content: Text, graphics, audio, video, or other materials posted on the Site, including objects protected by copyright and related rights. 4. General Conditions of Use 4.1. The Administrator grants the User a non-exclusive license to use the Site’s functionality for personal or business purposes (as permitted). 4.2. Registration and basic use of the Service may be free of charge, but certain functionalities may be offered on a paid basis. The cost of paid services or plans is indicated on the Site in the relevant “Pricing” (or “Тарифы”) section. 5. Subject of the Agreement 5.1. The subject of this Agreement is to provide the User with access to the functional capabilities of the SpyOwl Service, involving analytical collection (parsing) of information from various open sources, social networks, and other platforms upon the User’s request/order. 5.2. The full range of the Service’s features and capabilities is available on the Site. 6. Registration 6.1. To access all services, a User must create an account. 6.2. When registering, the User must provide (at a minimum): • A username (login/username); • An email address (E-mail); • A password. 6.3. Registration is deemed confirmed once the User receives a notification by email and confirms their email address. 6.4. The User agrees not to share their login and password with third parties and, in the event of loss of login data or suspicion of unauthorized access, to immediately notify the Administration. 6.5. The User bears full responsibility for all actions carried out under their login and password. 7. Prohibited Use of the Service 7.1. The User agrees not to use the Service for: • Uploading or transmitting malicious software, viruses, files, or scripts that could disrupt the operation of the Service or any equipment; • Unauthorized interference with the servers or networks associated with the Service, or violation of any rules, policies, or procedures of such networks; • Misuse of the Service, including renting it out, sublicensing, copying the code, reverse-engineering, decompiling, or modifying it; • Illicit collection of personal data of third parties, sending spam, chain letters, or other unwanted communications; • Violating the rights of third parties, breaking the law, or engaging in other activities that contradict this Agreement. 7.2. Any use of the Service that violates this Agreement may result in the suspension or termination of the User’s account and/or access without refund. 8. Prohibited Content 8.1. The Site and the Service prohibit the distribution or publication of content that: • Violates applicable law, including materials protected by copyright or trademarks without the permission of the rights holder; • Contains child pornography, depictions of violence, or calls for discrimination, extremism, or terrorism; • Promotes illegal goods or services (sale of drugs, weapons, human organs, etc.); • Contradicts moral and ethical standards, incites violence, harm, or harassment; • Constitutes defamation, insults, threats, or otherwise violates the rights of third parties. 9. Intellectual Property 9.1. All elements of the Site (including branding, text, graphics, design, software, databases, etc.) are objects of intellectual property (owned by the Administrator or other lawful owners). 9.2. Any use of the Site’s materials beyond what is permitted by this Agreement or by law, without the written permission of the rights holder, is prohibited. 9.3. Disclaimer 10.1. The Service is provided “as is.” We do not guarantee that the Site/Service will function without errors, interruptions, or downtime, or that it will meet all of the User’s expectations. 10.2. The Administrator is not liable for any direct or indirect damages (including lost profits, loss of data, or loss of business reputation) arising from: • The use or inability to use the Service; • Unauthorized access by third parties to the User’s data; • Actions or content of third parties, including links or resources the User may access; • Errors, delays, or failures in the operation of telecommunications channels, internet providers, or the User’s equipment. 10.3. The User acknowledges that when using any analytical services (including the collection of data from social networks), there may be legal risks associated with using the obtained information. The User is fully responsible for the lawful and legitimate use of any information obtained. 10.4. The Administrator provides no warranty that any data acquired through the Service does not infringe on third-party rights or the laws of the User’s country. 11. Limitation of Liability 11.1. The maximum liability of the Administrator (provided such limitation does not contradict mandatory legal provisions) in connection with or arising from the User’s use of the Service shall not exceed one hundred (100) euros or the amount of actual damages incurred (whichever is less). 11.2. Some jurisdictions do not allow the limitation of liability; in such cases, this limitation may not apply to certain Users to the extent prohibited by law. 12. Indemnification 12.1. The User agrees to indemnify and hold the Administrator, its affiliates, employees, and representatives harmless from any claims, lawsuits, damages, legal costs, and expenses (including attorneys’ fees) arising out of or related to: • The User’s violation of this Agreement; • The User’s use of the Service in violation of the law or third-party rights. 13. Governing Law and Dispute Resolution 13.1. All relationships arising from this Agreement are governed by the laws of [specify the relevant jurisdiction]. 13.2. All disputes arising from or in connection with this Agreement shall be resolved in the competent court at the Administrator’s location, unless otherwise provided by law. 13.3. The Administrator may also bring legal action in the User’s jurisdiction if the User infringes the Administrator’s copyrights or other rights. 14. Geographic Restrictions 14.1. We do not guarantee that the Service is available or suitable for use in all countries. If you use the Service outside the jurisdiction in which we officially operate, you do so on your own initiative and are responsible for compliance with local laws. 15. Using the Service While Driving 15.1. The User agrees not to use the Service directly while operating a motor vehicle. If the User needs to interact with the Service while driving, they must first stop the vehicle in a safe and legally permitted location. 15.2. The Administrator is not liable for any accidents or other negative consequences caused by using the Service while driving. 16.ADDITIONAL DISCLAIMER 16.1. Any information provided by the SpyOwl Service (including reports, data, statistics) is used by the User entirely at their own risk. 16.2. The Administrator does not monitor the legality or appropriateness of how collected data is used and assumes no responsibility for possible third-party violations arising from the User’s actions or omissions. 16.3. All materials available on the Site are for informational purposes only and should not be considered professional (legal, financial, or technical) advice. 16.4. The Administrator makes no guarantee that using the Service will lead to any specific results, including financial gains in arbitrage or any other business. 17.
